JIVA 2.0 FREE TRIAL TERMS AND CONDITIONS

PLEASE READ THIS SOFTWARE TRIAL AGREEMENT CAREFULLY. BY CHECKING THE BOX INDICATING YOUR ACCEPTANCE ON THE JIVA 2.0 ONBOARDING FORM, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT ON BEHALF OF THE INSTITUTION YOU REPRESENT ("INSTITUTION"). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT CHECK THE BOX AND DO NOT ACCESS THE JIVA 2.0 PLATFORM.

1. PARTIES AND ACCEPTANCE

This Agreement is between Jiva Dojo LLP ("Service Provider") and the Institution identified in the onboarding form. By submitting the onboarding form and checking the consent box, the Institution agrees that no physical signature is required to make this Agreement legally binding.

2. TRIAL PERIOD

The Service Provider grants the Institution a free trial period to evaluate the Jiva 2.0 platform. The trial period shall be strictly for a duration of two (2) weeks. This period commences on the specific start date provided by the Institution in the onboarding form. Access to the platform will automatically expire at the end of the two-week period unless a subsequent commercial agreement is executed.

3. USAGE LIMITS AND USER ACCESS

Access to the Jiva 2.0 platform under this trial is granted exclusively to individuals who register for an account using an email address associated with the Institution's authorized email domain. While the trial may be offered or referred to as including "unlimited" interactions, for the purposes of this Agreement, "unlimited" usage is explicitly defined and capped at a maximum of one thousand (1,000) interactions per authorized user over the duration of the two-week trial. Service Provider reserves the right to restrict, suspend, or terminate access for any user account that exceeds this usage cap.

4. LICENSE AND ACCEPTABLE USE

During the trial period, the Service Provider grants the Institution and its authorized users a limited, non-exclusive, non-transferable, and revocable license to access and use the Jiva 2.0 platform solely for internal evaluation, testing, and assessment purposes. The Institution agrees not to reverse engineer, decompile, copy, distribute, or attempt to derive the source code of the software, nor use the platform in a live, commercial production environment.

5. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Jiva 2.0 platform, including but not limited to all software, user interfaces, documentation, and underlying intellectual property, remain the exclusive property of Jiva Dojo LLP. The Institution acknowledges that no ownership rights are transferred during this free trial.

6. DATA OWNERSHIP AND CONFIDENTIALITY

Any proprietary data, student information, or materials uploaded by the Institution or its users to the Jiva 2.0 platform during the trial period shall remain the exclusive property of the Institution. Both parties mutually agree to hold in strict confidence all proprietary and non-public information disclosed during the trial. While reasonable security protocols will be maintained, the Service Provider is not responsible or liable for any data loss, corruption, or exposure during the evaluation period.

7. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" FOR THE SOLE PURPOSE OF EVALUATION. JIVA DOJO LLP EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM INTEGRATION, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Jiva Dojo LLP shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, or goodwill, arising out of or in connection with the Institution's access to or use of the platform during the free trial.

9. TERMINATION AND MODIFICATION

Jiva Dojo LLP reserves the right to suspend or terminate the Institution's access to the trial at any time, without notice and with or without cause. Upon termination or expiration of the trial period, the Institution must cease all use of the platform.
